Terms of service

1. Introduction

These terms govern your use of the skutrail.com website and, if you receive access credentials, the Skutrail private-beta API ("Service"). By using the Service, you agree to these terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent this restriction is prohibited by applicable law.
• Abuse rate limits, send malicious traffic, or intentionally disrupt the Service.
• Resell API access or embed the Service in a product that competes with Skutrail without our written permission.
• Use the Service to store or transmit content that violates applicable law or infringes third-party rights.

4. Intellectual property

Skutrail owns all rights to the Service, including the API, documentation, and brand assets. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the private beta. You retain all rights to the data you submit through the Service.

5. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Skutrail does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

6. Limitation of liability

To the maximum extent permitted by law, Skutrail's total liability arising out of or relating to the Service will not exceed the greater of (a) the fees you paid to Skutrail in the 12 months preceding the claim, or (b) one hundred United States dollars. Skutrail will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data. This limitation does not apply to liability arising from gross negligence or willful misconduct.

7. Indemnification

You agree to indemnify and hold Skutrail harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your misuse of the Service or your breach of these terms.

8. Termination

Either party may terminate access to the Service at any time. Skutrail may suspend or terminate your access if you materially breach these terms, if your use is illegal or abusive, or if we exit the private beta. Sections 4 through 10 survive termination.

9. Governing law

These terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising under or relating to these terms will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

10. Changes to these terms

We may update these terms to reflect changes in the Service or in applicable law. For material changes, we will provide at least 30 days' notice via email to account holders and by updating the "Last updated" date at the top of this page. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
